The Proposed Business Combination implies a pro forma combined enterprise value of PubCo of $399 million, excluding sponsor shares to be transferred and additional earnout consideration, on a cash-free and debt-free basis, assuming $30.0 million targeted gross proceeds from a combination of cash retained in trust post extension and PIPE funding to be obtained before the Closing. The boards of directors of both CNDA and Events.com have approved the proposed transaction, which is targeted to close in the first quarter of 2025, subject to, among other things, the approvals by stockholders of CNDA and Events.com and satisfaction or waiver of the other conditions set forth in the Business Combination Agreement.
Net proceeds from the transaction are expected to enable Events.com to invest further into its business expansion plan on product offerings and strategic acquisitions, as well as contributing to the development and improvement of Events’ AI practice that enables the Company to customize user experience. Under the terms of the Business Combination Agreement, Events.com’s existing shareholders will convert 100% of their equity ownership stakes into the combined company and are expected to own approximately 75% of the post-combination company upon consummation of the Proposed Business Combination.

With a successful track record as a serial entrepreneur, Mitch co-founded Active.com (the Active Network) and was also the CEO and Co-Founder of Active Europe. Active went public on the NYSE and then sold to Vista for $1.05 billion. Vista later sold two divisions of Active to Global Payments for $1.2 billion. He was also the head of digital technologies for the Competitor Group, which sold to Calera Capital for $220M.
Mitch is Chairman of The La Jolla Foundation, supporting initiatives like Project Active, which provides sports equipment to children in conflict zones. Mitch loves events, co-owned Triathlete Magazine, produced TEDx events, chairs The La Jolla Foundation, and is a 22-time Ironman triathlete.

Stephen Partridge is Founder and President of Events.com, an innovative mobile-first event technology platform. Under Stephen’s vision and leadership, Events.com revolutionizes how events are organized and experienced. Stephen’s international teams support users globally with a wide array of event types, languages, and currencies.
An accomplished executive leader and founder, he served as CEO of EventsOnline.ca and BibNumbers.com, foundational assets of Events.com. Stephen grew EventsOnline.ca to the leading event registration site in Canada and Hawaii. He also served as GM of AgDealer, the world’s largest agricultural database and North America’s largest magazine.
An Ottawa native, Partridge holds a B.S. in Kinesiology from the University of Ottawa and a B.S. in IT Management from the Information Technology Institute. He has founded and co-founded multiple ventures and has served on the board of Startup Canada for four terms, as well as being a founding board member of the Canadian Endurance Sports Alliance. His achievements have earned him recognition as one of Ottawa Life Magazine’s Top People to Watch.
